Please read these Terms and Conditions ("Terms") carefully before using the King & Canvas website, accessing our services, or engaging us for Design or Event Planning services. By accessing or using any part of the site or our services, you agree to be bound by these Terms.

Acceptance of Terms

These Terms constitute a legally binding agreement between you ("Client" or "User") and King & Canvas ("we," "us," or "our"), an Indianapolis-based business specializing in high-end Design and Event Planning. If you do not agree to all the Terms, then you may not access the website or use any services.

Description of Services

King & Canvas provides two primary services, each governed by these Terms and a separate, specific Service Agreement or Contract entered into between the Client and King & Canvas:

​

  • Design: Consultation, spatial planning, custom millwork and cabinetry design, finish selection, and project management for home or commercial spaces.

  • Events: Full or partial service coordination, timeline management, vendor negotiation, design conceptualization, and day-of execution for weddings, corporate events, and milestone celebrations.

In the event of a conflict between these Terms and a specific executed Service Agreement, the Service Agreement shall prevail with respect to the specific project details.

Use of the Website

​

A. Intellectual Property Rights

All content published on the King & Canvas website, including visual design elements, photographs of interiors and events, text, graphics, logos, and code ("Content"), is the exclusive property of King & Canvas or its content suppliers and is protected by copyright and intellectual property laws.

B. Prohibited Uses

You are prohibited from using the site or its Content: (a) for any unlawful purposes; (b) to solicit others to performs or participate in any unlawful acts; (c) to infringe upon or violate our intellectual property right or the intellectual property rights of others; (d) to modify, copy, or commercialize the Content without express written persmission.

Client and Project Responsibilities

A. Accuracy of Information and Portfolio Promotion

The client is responsible for providing King & Canvas with accurate and timely information (e.g., design budgets, structural details, event dates, and venue specifications) necessary to complete the services. Any delays or errors resulting from inaccurate client information may impact timelines and costs, as detailed in the separate Service Agreement.

Disclaimers and Limitations of Liability

A. Service Outcomes

While King & Canvas uses its best efforts to deliver masterful, flawless execution, we cannot guarantee specific results or outcomes beyond the terms explicitly outlined in the signed Service Agreement.

B. Limitation of Liability

To the maximum extent permitted by applicable law, King & Canvas shall not be liable for any indirect, incidental, punitive, special, or consequential damages (including, without limitation, damages for loss of profits, data, or goodwill) arising out of or in any way connected with the use of the services or the website. Our total liability to you for any claim arising out of these Terms shall not exceed the amount paid by you to King & Canvas in the three (3) months preceeding the event giving rise to the claim.

Governing Law

​

These Terms and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law provisions. You agree that any legal action or proceeding related to this agreement shall be brought exclusively in the state or federal courts located in Indianapolis, Indiana.

Changes of Terms

We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms and Conditions by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to the website or services following the posting of any changes constitutes acceptance of the changes.
